THE BYLAWS

OF

THE WOMEN OF CALVARY CHURCH

A BRANCH OF THE EPISCOPAL CHURCH WOMEN

OF THE DIOCESE OF PITTSBURGH, PENNSYLVANIA, AND OF

THE EPISCOPAL CHURCH 114 THE UNITED STATES OF AMERICA

 

 

The Women of Calvary Church acknowledge Canon XXI of the 1980 Edition of the Constitution and Canons of the Episcopal Diocese of Pittsburgh, which states that, "the Rector shall have full control and direction of all Guilds, Societies, and Associations within the Parish."

 

ARTICLE I

NAME

The name of this organization shall be "The Women of Calvary Church," which is a branch of the Episcopal Church Women of the Diocese of Pittsburgh, Pennsylvania, and of The Episcopal Church of the United States of America.

 

ARTICLE II

PURPOSE

The purpose of the organization shall be to unite the women of this Parish in a program of worship, study, service, support, and fellowship which shall deepen and strengthen their own spiritual lives and lead them into service for the Church in the Parish, the Diocese, the Community, the Nation, and the World.

 

ARTICLE III

MEMBERSHIP

Every women of the Parish shall be considered a member of this organization. The elected officers of the Women of Calvary Church shall be communicants of Calvary Episcopal Church.

 

ARTICLE IV

GENERAL MEETINGS

There shall be at least one (1) general meeting of the Women of Calvary in each year. At that time the officers shall be nominated and elected, the budget report given and any bylaw changes voted upon. Any other business considered pertinent by the President shall be conducted.

 

ARTICLE V

OFFICERS

 

The officers of this organization shall be: President, Vice President, Secretary, Treasurer, Communications Officer, and Hospitality Officer.

Nomination of Officers

The Vice President shall chair the Nominating Committee. The Nominating Committee shall consist of three (3) or five (5) persons, including the Chairwoman. The Chairwoman shall appoint the members in consultation with the President and with the approval of the Board at its February or March meeting.

Any name to be submitted for office must be sent in writing to the Chairwoman of the Nominating Committee before March 15. Names of the nominees shall be published in the Agape and posted on the Church bulletin board at least one (1) month prior to the election date and shall be voted upon by the Membership at the General Meeting.

Additional nominations may be made from the floor at the General Meeting, provided such nominees have consented to serve.

 

Term of Office

The President shall serve a one-year term. She shall be eligible for a one year extension of her term with her consent and the discretion of the nominating committee.

The Vice President shall be elected each year. After fulfilling the duties of her one-year term, she shall assume the position of President in the following year.

If the President chooses to extend her term, the Vice President shall also be eligible for a one-year extension of her term or she may choose to resign with the election of a new Vice President then proceeding as described.

All other officers shall be elected for a term of two (2) years, with officers eligible for re-election for one (1) additional term except that the Treasurer may be re-elected for more than one (1) additional term.

 

Duties of Officers

President - The President shall preside at all Board and General Meetings and be responsible for the duties and leadership as stated in the Purpose of the Organization.

The President shall appoint the committee chairwomen and representatives of Parish programs and activities as deemed necessary.

The President shall supervise execution of the budget. Expenditures not provided in the budget may be made by the President with the approval of the Executive Committee of the Board before payment by the Treasurer. Under unusual circumstances, the President may be authorized to grant payments up to One Hundred Dollars ($100.00).

The President is an ex-officio member of the Parish Council and all committees of the Woman of Calvary Church and may attend such Council and committee meetings at her choice.

The President shall be a representative to the Parish Outreach Committee. Two to four additional members of the Women of Calvary Board will be appointed to serve on the Outreach Committee. The President will be empowered to appoint a last minute substitute should all members be unable to attend.

The President, in consultation with the Nominating Committee and with the approval of the Board, shall fill all vacancies for unexpired terms of officers and committee chairwomen except that of the President.

Vice-President- The Vice President shall assist the president in long-range planning. In the absence or incapacity of the President, she shall perform the duties of the President as needed. The Vice President shall chair the Nominating Committee. She shall become President in the year following her term as Vice President.

 

Secretary - The Secretary shall take minutes and maintain records of all Board and General Meetings of the Women of Calvary Church.

The Secretary shall provide the minutes of monthly meetings and notification of future meetings of the Board to the Board members and to the clergy. Her records shall be preserved for historical purposes.

 

Treasurer - The Treasurer, with the assistance of a Budget Committee, shall prepare an Annual Budget to be approved by the Board.

The Treasurer shall provide a monthly financial report to the Board for inclusion in the minutes of the meeting. She shall present an Annual Financial Report at the General Meeting of the women of Calvary Church.

The treasurer shall direct such disbursements as are appropriately authorized. The President shall appoint one (1) or two (2) persons to review the financial records at the close of each fiscal year (Dec. 31).

 

Communications Officer - The Communications Officer shall disseminate notices, maintain awareness in Agape and Sunday Bulletins, and assist the Board and any comnuttee chairperson in the promotion of the activities of the Women of Calvary Church. She shall also manage correspondence on behalf of the board.

 

Hospitality Officer - The Hospitality Officer shall assist in organization of Women of Calvary sponsored events including Sunday Coffee Hours, The Fall Party, and the Annual Meeting Dinner.

 

ARTICLE VI

EXECUTIVE COMMITTEE

 

The Executive Committee, consisting of the officers (President, Vice President, Secretary, Treasurer, Communications Officer and Hospitality Officer) as enumerated in Article V, shall exercise the authority of the Board between meetings. The President may call an Executive Committee meeting whenever it is advisable.

 

ARTICLE VII

BOARD MEMBERSHIP

 

The membership of the Board of the Women of Calvary Church shall be as follows: all elected officers, chairwomen of committees, any Calvary woman who is on the Board of the Episcopal Church Women of the Diocese, and the chairwoman or representative of any other Parish program or activity, as needed.

The Board shall conduct the business of the Women of Calvary Church and report to the Membership at the General Meeting those matters which require a vote of the membership, such as: election of officers, the budget, and revisions of the bylaws.

 

Board Meetings

The Board shall meet at such times as the President shall designate. No fewer than six (6) such meetings shall be held annually unless otherwise determined by a majority vote of the Board. Members of the Board are expected to attend all Board meetings. In case of a necessary absence, the member shall notify the President or the Church office.

 

ARTICLE VIII

COMMITTEES, GUILDS, SOCIETIES AND ASSOCIATIONS

 

The following may be represented at the Board Meetings of the Women of Calvary Church:

Bazaar/Fund Raising Chair

Church Periodical Club (C.P.C.)

United Thank Offering (U TO.)

Budget Committee

Nominating Committee

Spiritual Life

Process for Christian Response

Diocesan ECW Board members who are members of Calvary Church and representatives of any other guilds, associations, societies, and committees or persons deemed necessary by the President.

 

Duties of Committee Chairwomen

All committee chairwomen are expected to attend scheduled Board Meetings. I case of necessary absence, such member should notify the President or the Church office.

 

ARTICLE IX

AMENDMENTS

These Articles may be amended upon the recommendation of the Board at the General Meeting of the Women of Calvary Church by a majority vote of the women present, provided notice of the proposed amendment has been made available to the Women of Calvary Church one (1) month in advance of the meeting.

 

ARTICLE X

Roberts Rules of Order, latest edition, shall govern all deliberations of the organization, when not inconsistent with the organization's bylaws.
